Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and OpsDealer LLC ("OpsDealer," "we," "us," or "our") regarding your use of the OpsDealer platform and services.

By accessing or using OpsDealer, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the service.

Description of Service

OpsDealer is a cloud-based dealership management platform that provides:

• Rental fleet management and loaner vehicle tracking
• Digital contract generation and signature capture
• Transport lane management and vehicle tracking
• Service scheduling (when available)
• Equipment management (when available)
• Related tools and features for automotive dealership operations

Account Registration

Eligibility

You must be at least 18 years old and have the authority to enter into this agreement on behalf of your dealership or business.

Account Security

You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring all information provided is accurate and current

Subscription and Payment

Free Trial

We offer a 7-day free trial with full access to all features. No credit card is required to start the trial. After the trial period, you must subscribe to continue using the service.

Pricing

Early bird customers receive locked-in pricing of $299/month. This price is guaranteed for as long as you maintain an active subscription without interruption.

Billing

• Subscriptions are billed monthly in advance
• Payments are processed automatically via your chosen payment method
• All fees are non-refundable except as required by law
• Failed payments may result in service suspension

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.

Acceptable Use

You agree not to:

• Use the service for any illegal purpose
• Violate any laws or regulations
• Infringe upon intellectual property rights
• Transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service
• Use the service to harass, abuse, or harm others
• Resell or redistribute the service without authorization
• Reverse engineer or attempt to extract source code

Data and Content

Your Data

You retain all rights to data you input into OpsDealer. You grant us a license to use, store, and process your data solely to provide and improve our services.

Data Responsibility

You are responsible for:

• The accuracy and legality of data you input
• Obtaining necessary consents for customer data
• Compliance with privacy laws (GDPR, CCPA, etc.)
• Backing up critical data independently

Data Backup and Recovery

While we maintain regular backups, you should maintain independent backups of critical data. We are not liable for data loss.

Intellectual Property

The OpsDealer platform, including all software, designs, text, graphics, and other content, is owned by OpsDealer LLC and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our services without explicit written permission.

Service Availability

We strive to provide reliable service but do not guarantee:

• Uninterrupted or error-free service
• That the service will meet all your requirements
• That defects will be corrected within a specific timeframe

We may modify, suspend, or discontinue any part of the service at any time with reasonable notice.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPSDEALER LLC SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Third-party actions or content

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless OpsDealer LLC, its affiliates, and personnel from any claims, damages, losses, or expenses arising from your use of the service, violation of these Terms, or infringement of any third-party rights.

Termination

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay fees when due
• Engage in fraudulent or illegal activity
• Pose a security risk to our systems or other users

Upon termination, your right to use the service ceases immediately. You may export your data within 30 days of termination.

Modifications to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the service. Continued use after changes constitutes acceptance of the modified Terms.

Governing Law

These Terms are governed by the laws of the United States and the state where OpsDealer LLC is registered, without regard to conflict of law provisions.

Dispute Resolution

Any disputes arising from these Terms or your use of OpsDealer shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation if negotiation fails
3. Binding arbitration if mediation is unsuccessful

Miscellaneous

• Severability: If any provision is found invalid, the remaining provisions remain in effect
• No Waiver: Failure to enforce any right does not constitute a waiver
• Assignment: You may not assign these Terms without our consent
• Entire Agreement: These Terms constitute the entire agreement regarding the service
